By accessing or using the PaymentHub platform, website, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service. If you are accepting these terms on behalf of an organization, you represent that you have the authority to bind that organization.
We may update these Terms of Service from time to time. If we make material changes, we will notify you by email or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated terms.
PaymentHub provides an ERP-native payment orchestration platform that includes payment gateway integration, automated posting, fee optimization, reconciliation tools, and related administrative features. The specific features available to you depend on your subscription plan.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time. We will provide at least 90 days notice before discontinuing core functionality that is material to your use of the platform.
The Services are provided on an "as-is" and "as-available" basis. While we target 99.9% uptime, we do not guarantee uninterrupted or error-free operation. Planned maintenance windows are communicated in advance and are not counted against uptime commitments.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately if you become aware of any unauthorized use of your account.
You may not share account credentials across multiple individuals. Each user must have their own account with appropriate role-based permissions. Administrative accounts should be protected with multi-factor authentication.
We reserve the right to suspend or terminate accounts that violate these terms, engage in fraudulent activity, or pose a security risk to our platform or other users.
Subscription fees are billed in advance on a monthly or annual basis, as specified in your order form. All fees are non-refundable except as required by applicable law or as explicitly stated in your order form.
If payment is not received within 30 days of the invoice date, we may suspend access to the Services until payment is received. We will provide at least 14 days written notice before any suspension for non-payment.
Transaction processing fees, if applicable, are calculated based on your usage and billed monthly in arrears. Fee schedules are documented in your order form and may be updated with 60 days written notice.
To the maximum extent permitted by law, PaymentHub and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, regardless of the cause of action or the theory of liability.
Our total cumulative liability for all claims arising out of or related to these Terms or the Services shall not exceed the total fees paid by you during the twelve (12) months preceding the event giving rise to the claim.
These limitations apply even if we have been advised of the possibility of such damages and even if a remedy set forth herein is found to have failed its essential purpose.
Either party may terminate the agreement by providing 30 days written notice before the end of the current subscription term. If neither party provides termination notice, the subscription automatically renews for successive periods of the same length.
We may terminate or suspend your access immediately if you materially breach these terms, fail to pay fees within 30 days of a suspension notice, or if required to do so by law.
Upon termination, you will have 30 days to export your data. After the export period, we will delete your data in accordance with our data retention policies and applicable legal requirements.
These Terms of Service are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles.
Any disputes arising under these terms shall be resolved through binding arbitration administered by the American Arbitration Association in Austin, Texas, unless the parties agree to an alternative dispute resolution mechanism.
